Adimell Terms of Service

1. Delivery times

We will make every effort to deliver your goods within the agreed timeframe. However, we cannot be held responsible for delays beyond our control such as weather conditions, customs clearance, or other unforeseen circumstances. If your shipment is delayed, we will notify you as soon as possible and provide an updated delivery estimate.

2. Payment terms

All invoices must be paid within 30 days of receipt. Late payments may result in additional fees, interest charges, or the suspension of our services. If you have any concerns about your invoice, please contact our billing department immediately.

3. Packaging

It is the shipper's responsibility to ensure that their goods are properly packaged and labeled for transportation. We are not liable for any damage caused to goods during transportation if they were not packaged correctly. We reserve the right to refuse any shipment that is not properly packaged or labeled.

4. Insurance

We offer insurance for goods in transit, but it is the shipper's responsibility to request this service and to pay for the associated costs. The amount of insurance coverage is based on the declared value of the goods and is subject to certain limitations and exclusions. If you have any questions about insurance coverage, please contact our customer service department.

5. Liability

Our liability for loss or damage to your shipment is limited to the lesser of the actual value of the goods or the cost of transportation. We are not liable for any indirect or consequential losses, such as lost profits or business interruption. Our liability is also limited by the terms and conditions of any carrier or third-party service provider that we use to transport your shipment.

6. Force majeure

We are not liable for any failure to perform our obligations under this agreement due to events beyond our control such as acts of God, war, terrorism, or other similar circumstances. In the event of a force majeure event, we will make every effort to minimize the impact on your shipment and to communicate with you about any delays or other issues.

7. Disputes

Any disputes arising from this agreement will be resolved through arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in a mutually agreed location and will be binding on both parties. The prevailing party will be entitled to recover its costs and attorney's fees.

8. Termination

This agreement may be terminated by either party upon written notice. Upon termination, any outstanding fees must be paid in full. If you terminate this agreement before the completion of a shipment, you may be responsible for any costs or expenses that we have incurred up to that point.

9. Confidentiality

We will keep all information related to your shipment confidential, except as required by law. We may disclose your information to our affiliates, partners, or service providers as necessary to provide you with our services.

10. Governing law

This agreement will be governed by the laws of the state in which we are incorporated. Any legal action arising from this agreement will be brought in the state or federal courts located in that state.
